This Software Licence Agreement ("Agreement") is a legal agreement between you (the "Licensee") and Field Forge Limited, a company registered in Northern Ireland (company number NI715154) with its registered office at Office 1739, 92 Castle Street, Belfast, BT1 1HE (the "Licensor"), for your use of the Field Forge platform and related services (the "Software").

By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Software. This Agreement supplements our Terms of Service.

1. Licence Grant

1.1 Scope

Subject to your compliance with this Agreement and your active Subscription, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software as a cloud-based service (SaaS) for your internal business purposes.

1.2 Permitted Users

The licence extends to the number of Users covered by your Subscription plan. Each User must have their own individual account. Account sharing between individuals is not permitted.

1.3 Scope of Use

The Software is licensed for use in connection with field service management, job quoting, scheduling, invoicing, and related business operations. Use for any other purpose requires our prior written consent.

2. Restrictions

You must not, and must not permit any third party to:

Copy, modify, adapt, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
Rent, lease, lend, sell, sublicence, or transfer access to the Software to any third party
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Use the Software to develop a competing product or service
Use the Software in any way that violates applicable laws or our Acceptable Use Policy
Access the Software's APIs or backend systems except through the provided user interface, unless we have provided explicit written authorisation
Attempt to circumvent any licence key, subscription check, or usage limitation
Use any automated means to access or interact with the Software (including bots, scrapers, or crawlers) without written permission
Benchmark or performance-test the Software for competitive purposes without our written consent

3. Intellectual Property

3.1 Ownership

The Software, including all code, design, features, documentation, trade marks, logos, and any updates, enhancements, or modifications, is and remains the exclusive property of Field Forge Limited. This Agreement does not convey any ownership interest in the Software.

3.2 Your Data

You retain all rights, title, and interest in the data you input into the Software ("Customer Data"). We claim no ownership over your Customer Data.

3.3 AI-Generated Content

Content generated by the Software's AI features (including quotes, item suggestions, and descriptions) is provided for your use in connection with the Service. You may use AI-generated content in your business operations (e.g., including it in quotes sent to your clients). However:

AI-generated content may not be unique and similar content may be generated for other users
We make no representations regarding intellectual property rights in AI-generated content
You are solely responsible for reviewing AI-generated content before use and for any consequences of using it

3.4 Third-Party Components

The Software incorporates third-party open-source software components, each subject to its own licence terms. A list of significant open-source components and their licences is available upon request.

4. Subscription & Access

Your right to access and use the Software is contingent upon maintaining an active, paid Subscription. If your Subscription expires, is cancelled, or is terminated, your licence to use the Software immediately ceases. See our Terms of Service for full details on subscription terms.

5. Updates & Changes

The Licensor may update, modify, or enhance the Software at any time without prior notice. Such updates are included within your Subscription at no additional charge. We are not obligated to maintain backwards compatibility or to continue offering any specific feature.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the above:

We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components
We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose
We do not warrant that the Software will meet your specific requirements
We are not responsible for any decisions made based on information provided by the Software, including AI-generated quotes

7. Limitation of Liability

To the maximum extent permitted by applicable law:

The Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
The Licensor's total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law

8. Indemnification

You agree to indemnify and hold harmless Field Forge Limited from any claims, damages, or expenses arising from: (a) your use of the Software in breach of this Agreement; (b) your Customer Data; (c) your violation of any applicable law; or (d) your use of AI-generated content.

9. Termination

9.1 By Either Party

Either Party may terminate this Agreement at any time by cancelling the Subscription in accordance with the Terms of Service.

9.2 By the Licensor

The Licensor may terminate this Agreement immediately if you breach any material term of this Agreement and fail to remedy the breach within 14 days of written notice.

9.3 Effect of Termination

Upon termination: (a) your licence to use the Software ceases immediately; (b) you must cease all use of the Software; (c) your data will be handled in accordance with our Privacy Policy and Data Processing Agreement. Sections 3, 6, 7, 8, and 10 survive termination.

10. Governing Law

This Agreement is governed by the laws of Northern Ireland. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.

11. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, Cookie Policy, Acceptable Use Policy, and Data Processing Agreement, constitutes the entire agreement between you and Field Forge Limited with respect to the Software.
